Our Governance approach is essential for effective operations, safeguarding reputation and mitigating risks. Compliance with applicable laws and regulations is critical to avoid reputational damage, legal liabilities, and the loss of trust amongst our stakeholders. Conversely, prioritizing ethical practices presents an opportunity to differentiate ourselves in the market, attract customers, and ensure long-term sustainability. ​

We have set the Yusen Logistics Standard as an initiative to strengthen our overall governance capability. It serves as a promise between our Global Headquarters and all operating companies, ensuring that all companies function as one organization, contributing to the strengthening of the Yusen Logistics brand in our global management structure.

Ethical Business Practice

Management Approach

Yusen Logistics prioritizes building an effective group compliance system to remain a trusted company for customers worldwide through our services. We have established the following main components of our compliance system:

 

Compliance Committee 

We regularly hold Compliance Committee meetings to determine and review the annual activity policies and implementation plans of the compliance program, as well as to confirm the status of their execution.

 

Chief Legal and Compliance Officer (CLCO) 

We have appointed a Chief Legal and Compliance Officer who oversees the establishment and promotion of the group's compliance system. The CLCO has the responsibility and authority to execute matters resolved by the Compliance Committee.

Code of Conduct

Our group‘s business is sustained by the day-to-day activities of our employees, and our greatest assets are their knowledge and experience. To maintain trust and ensure that our employees can perform to the best of their abilities, it is essential not only to act in accordance with laws and ethics but also to understand and practice the importance of compliance.

We have established the Yusen Logistics’ Group Code of Conduct, a set of corporate ethical guidelines that all directors and employees of our group must adhere to in conducting corporate activities and daily operations. We believe that only by adhering to this 'Code of Conduct' can we provide superior service and earn the trust of our customers. ​

This code of conduct is reviewed periodically to reflect changes in the business environment and societal trends.​

We obtain an 'Acknowledgement Form' from all directors and employees regarding compliance with the group Code of Conduct to ensure they understand and practice the necessary content stipulated in the code and recognize the importance of the spirit of compliance.

*As a company under Japanese jurisdiction, Yusen Logistics have established a policy that clearly states we will sever all ties with anti-social forces, refuse any unjust demands or fraudulent transactions, and never engage in any anti-social transactions.

 

Ethical Business Training

Our Group continuously conducts various compliance education and training programs to further enhance the compliance awareness of our directors and employees and to disseminate the knowledge and information necessary to practice compliance.​

In particular, we consider "Code of Conduct," "Antitrust," and "Anti-Bribery" to be crucial matters and conduct training globally, primarily through our internal online learning platform Yusen Advance.

Whistle Blowing

Our group has established a whistleblowing system at each operating company, where directors and employees can report and consult in case there is a potential violation of laws, internal rules, or Code of Conduct.​

We have formulated internal rules regarding the whistleblowing system and continuously promote awareness of its necessity and function among all directors and employees. Furthermore, to ensure anonymity, independence, and fairness, we have set up whistleblowing channels not only within the company but also externally.

Responsible Tax Practices

Our Group is committed to complying with global laws and paying the correct amount of tax on time in the right place. We aim to enhance our global tax compliance and support international taxation frameworks like the OECD's BEPS project for transparency.​

Risk Management

Enterprise Risk Management

In the dynamic world of global logistics, robust risk management is essential for Yusen Logistics, safe- guarding resilience, sustainability, and operational excellence. From geopolitical shifts, supply chain disruptions, information security risks and corrup- tion, we ensure our operations are maintained with integrity and the right risk mitigation practices.​

The Global Governance Group has responsibility for risk management, as it encompasses risks within non-compliance, corruption, antitrust and other related legal aspects. The Risk Management chart shows the governance mecha- nisms, including where instructions are being passed from the Global Governance Committee and distributed through the operating companies. Each region is obligated to report on its risk identification, evaluation, and implementation​ of mitigation measures.

Each operating company reports their Enterprise Risk Manage- ment findings annually. When risks are identified, the units are expected to prioritize them through a scoring system.

Consequently, the last step for each office is to establish prevention measures to counteract the selected risks. The responsibility to mitigate a given risk lies with the operating company, rather than the HQ, which follows up on the assessments annually.

Business Continuity

Our business continuity plans are designed to aid early detection, prevention, appropriate post-incident management and damage minimization in the event of unforeseen situations such as war, acts of terrorism, and natural disasters. Following damage from a disaster or catastrophic event, the company will be able to maintain its important functions uninterrupted wherever possible, or if interrupted, to quickly restore them.

Cyber Security

Yusen Logistics integrates information security risk management into its core business strategy, following the Global information Security Policy across all operating companies.​

It employs robust measures, including multilayered defenses, “zero trust” strategies, multi-factor authentication, and a 24/7 Global Security Operations Center, to counter evolving cyber threats and ensure resilience. The company has established CSIRTs globally to enable swift responses and informed decision-making during incidents. To enhance cyber security literacy, it conducts training and assessments across all group companies.

Supply Chain Management

 Management approach

Our company is dedicated to building a sustainable supply chain by promoting environmental impact reduction, improving labor conditions, and ethical procurement as well as implementing an incident management framework and the risk management program based on the Yusen Excellence System.  We aim to optimize inventory, reduce costs, and maintain high service quality through effective supply chain management. Our procurement practices are maintained at a local level, with strategic partnerships managed from our headquarters. This decentralized approach enables agility, cost efficiency, and empowers local teams to make sourcing decisions based on their expertise and regional insights, fostering innovation and strong supplier relationships.

​To achieve these goals, we have established Global Supplier Code of Conduct, which sets the standards that our company and suppliers should aim to achieve together. This code emphasizes compliance with laws, respect for human rights, and environmental protection. By working in cooperation with our suppliers, we address environmental and social challenges, ultimately working towards the realization of a sustainable society.
